2. Scope and Acceptance
These Terms and Conditions govern the use of the Platform by all users, including Organisers and Contributors. By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms.
The Platform reserves the right to modify these Terms at any time. Users will be notified of material changes via email or through a notice on the Platform. Continued use of the Platform after such modifications constitutes acceptance of the updated Terms.
These Terms are governed by French law and applicable European Union regulations, including Regulation (EU) 2016/679 (GDPR), Directive 2011/83/EU on consumer rights, and the French Consumer Code (Code de la consommation).
3. Registration and Account Creation
To create a Wedding Vault, Organisers must register an account on the Platform and complete Stripe Connect onboarding. This process may require providing personal identification, banking information, and other details as required by applicable anti-money laundering (AML) and know-your-customer (KYC) regulations.
By registering, you represent and warrant that:
- You are at least 18 years of age.
- The information you provide is accurate, complete, and up to date.
- You will maintain the security of your account credentials and notify us immediately of any unauthorised access.
- You are legally permitted to use financial services in your country of residence.
The Platform reserves the right to refuse registration, suspend, or terminate any account at its discretion if it suspects fraudulent activity, misuse, or violation of these Terms.
4. Description of Services
The Platform provides a digital service enabling Organisers to create a personalised Wedding Vault. Each Wedding Vault is linked to a Stripe Connect account created specifically for the Organiser, through which Contributors can make monetary gifts.
The Platform facilitates the following:
- Creation and customisation of a Wedding Vault page.
- Secure processing of contributions via Stripe Connect.
- Display of contribution amounts and optional messages from Contributors.
- Disbursement of collected funds to the Organiser's designated bank account.
The Platform acts solely as a technical intermediary. It does not hold funds at any time; all funds are processed and held by Stripe in accordance with Stripe's own terms of service. The Platform is not a payment institution, electronic money institution, or financial services provider.
5. Contributions and Payments
5.1 Making a Contribution
Contributors are pre-registered by the Organiser and identify themselves using their first and last name. No account creation or password is required. Contributions are processed securely through Stripe and are subject to Stripe's terms and conditions.
By making a contribution, the Contributor acknowledges that:
- The contribution is a voluntary gift and not a purchase of goods or services.
- The contribution is non-refundable except as provided in Section 6 (Refund and Cancellation Policy).
- The Platform does not guarantee any specific use of the contributed funds by the Organiser.
5.2 Fees
The Platform charges a service fee on each contribution, which is deducted at the time of processing. Stripe also applies its own transaction fees in accordance with its published pricing. A full breakdown of applicable fees is displayed to both Organisers and Contributors before any transaction is confirmed.
All prices and fees displayed on the Platform are inclusive of applicable VAT where required under French and EU tax law.
5.3 Disbursement
Funds collected in a Wedding Vault will be transferred to the Organiser's bank account according to Stripe Connect's payout schedule. The Platform does not control or guarantee payout timing, which is subject to Stripe's verification processes and payout policies.
6. Refund and Cancellation Policy
Please refer to the separate Refund and Cancellation Policy for full details. Key provisions include:
- Contributors: Since contributions are voluntary gifts and not purchases, the 14-day EU right of withdrawal under Directive 2011/83/EU does not apply. However, refund requests may be considered in cases of technical error, duplicate transactions, or fraud.
- Organisers: Organisers may close their Wedding Vault at any time. Any funds already collected will be disbursed minus applicable fees. Platform service fees already incurred are non-refundable.
- Event cancellation: In the event that a wedding is cancelled, the Organiser is responsible for arranging the return of contributions to Contributors directly.
7. Intellectual Property
All content, design, trademarks, logos, software, and other materials on the Platform are the property of Julien Salomon or its licensors and are protected by French and international intellectual property law.
Users may not reproduce, distribute, modify, or create derivative works from any Platform content without prior written consent. Content uploaded by Organisers remains the property of the respective Organiser, who grants the Platform a limited, non-exclusive licence to display such content for the purpose of operating the Wedding Vault.
8. User Obligations
All users of the Platform agree to:
- Use the Platform solely for its intended purpose of collecting and making wedding gifts.
- Not use the Platform for money laundering, terrorist financing, fraud, or any other illegal activity.
- Not attempt to circumvent security measures, reverse-engineer the Platform, or interfere with its operation.
- Provide accurate information and refrain from impersonating any person or entity.
- Comply with all applicable laws, including French and EU regulations.
9. Limitation of Liability
To the maximum extent permitted by applicable law, the Platform shall not be liable for:
- Any loss or damage arising from the use or inability to use the Platform.
- Any actions taken by Stripe, including account suspensions, payout delays, or fund holds.
- Any unauthorised access to user accounts resulting from the user's failure to maintain adequate security.
- Any indirect, incidental, consequential, or punitive damages.
Nothing in these Terms shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under French or EU law.
The Platform's total aggregate liability to any user shall not exceed the total fees paid by or on behalf of that user in the twelve (12) months preceding the event giving rise to the claim.
10. Data Protection
The Platform processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the French Data Protection Act (Loi Informatique et Libertés). Full details of data processing practices are set out in the separate Privacy Policy.
By using the Platform, you acknowledge that certain personal data will be shared with Stripe for the purpose of payment processing, identity verification, and compliance with legal obligations. Stripe's processing of your data is governed by Stripe's own privacy policy.
11. Dispute Resolution
In the event of any dispute arising from or in connection with these Terms, the parties shall first attempt to resolve the matter amicably. If no resolution is reached within thirty (30) days:
- For consumers resident in the EU: You may submit the dispute to a certified consumer mediator in accordance with Articles L.611-1 to L.616-3 of the French Consumer Code. You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr/.
- Jurisdiction: Any dispute that cannot be resolved through mediation shall be submitted to the competent courts of Paris, France.
12. Force Majeure
The Platform shall not be held liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to natural disasters, pandemics, government actions, strikes, power failures, internet outages, or failures of third-party services (including Stripe).
13. Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
14. Entire Agreement
These Terms, together with the Privacy Policy, Cookie Policy, and Refund and Cancellation Policy, constitute the entire agreement between you and the Platform regarding your use of the Services.
